Network & Security Assessment Agreement - Terms and Conditions

The Utility Company's Network & Security Assessment service is strictly for the purpose of providing a report on the Company (named below, also referred to in this Agreement as “you” or “your”) regarding current technology and security infrastructure and recommendations on areas of improvement. By signing this Agreement you provide The Utility Company (also referred to in this Agreement as “TUC”) authorization to access your personnel, hardware, software, network, operating systems, programs, applications and data for the purposes of gathering sufficient information required to analyze your infrastructure.

The Utility Company agrees to hold any and all corporate and personal information strictly confidential. None of the information will be used for any purpose other than to analyze the capacity, security and performance of your technology infrastructure. You understand that in order to conduct this Assessment TUC will install a software agent on technology devices (servers, desktops) in your organization. You further understand that the installation of this software may expose pre-existing problems that may have been previously undetected. TUC makes, and your company receives, no warranties of any kind, expressed, implied or statutory, arising in any way out of, related to, or under this Agreement on the functionality of said software agent or the provision of services hereunder. In no event will TUC have any liability for any special, indirect or consequential damages including, without limitation, damages for lost profits, loss of data or costs of procurement of substitute goods or services, arising in any way out of this Agreement.

All remediation of problems exposed and/or encountered during this Assessment are subject to the standard support charges of TUC. This Assessment itself does not include any remediation of problems.

You understand and agree that TUC will prepare a report with recommendations based on the findings of this Network & Security Assessment.
